Title to the goods sold shall only transfer to the Company upon delivery by the Supplier to the Company. Supplier shall assume all risks in the delivery of the goods. Any damage to the goods prior to and during delivery shall be shouldered by the Supplier.
The Supplier warrants that the products sold and delivered to Company conforms to the secifications as well as the technical and quality standard required, and free from defects. In case of any damage or defect to the product by which damage is not caused by the Company, such product shall be replaced by the Supplier within 30 days from the date of notice to Supplier of such damage, or repair the products without additional cost to the Company, if repairable.
Otherwise, reimburse the company for the cost of the products found to be defective or damaged. Supplier shall not be responsible for damages for delays caused by reason of force majeur; such as due to earthquake, flood, war, or in cases of inclement weather that shall prevent the delivery of the goods to the Company.
Supplier shall notify the Company as soon as possible the incident and shall be made in writing thereafter. This Agreement shall remain effective beginning the date signed by the Parties hereto and shall remain in effect for a period of one year or until terminated by any of the parties hereto, in a form of a written notice. This Agreement shall exclusively be construed and is governed in accordance with the laws of the State of Washington.
The clauses and provisions contained in this Agreement are intended to be read separately. In case any provisions hereto are found to be invalid by a competent court, such invalidity shall affect only the said provision and the rest of the remaining provisions shall remain valid and enforceable.
Any modifications or alterations to this agreement shall require the consent of the parties hereto in writing. Any modifications in any of the provisions in absence of such consent shall not be considered as having been made. No waiver of any party hereto shall be considered as having been made unless otherwise such party executes it in writing.
